HIR Digital Desk LLC Terms and Conditions

Welcome to HIR Digital Desk LLC ("we," "us," "our"). These Terms and Conditions govern your use of our AI Service Appointment Booking Service ("Service"). By subscribing to or using our Service, you agree to be bound by these terms.

 

1. Service Description and Scope

HIR Digital Desk LLC provides a custom-built AI Voice Assistant service designed to intercept and convert high-value service calls occurring during Non-Operational Hours (NOH) into booked appointments. The Service operates exclusively during defined NOH and is a revenue recovery tool for the client.

  • Platform: Our service relies on secure, third-party infrastructure that maintains SOC 2 Type II compliance.

  • Out of Scope: The Service is strictly a sales representative focused on appointment acquisition. We do not provide service quotes, internal IT support, or daytime call handling outside of the defined NOH window.

 

2. SMS Communications and TCPA Compliance

Your use of our Service includes automated SMS communications with your customers, utilized exclusively for transactional purposes.

  • Inbound Consent Model: Our AI is designed to obtain explicit verbal consent from your customers during an active phone call before sending any SMS. This consent is recorded as part of the call.

  • Data Use: No mobile or messaging consent information will be shared with third parties or affiliates for marketing or promotional purposes.

  • Opt-Out Option: All SMS messages sent through our Service will include an easy way for customers to opt-out. Customers can simply reply "STOP" to the message, which triggers network-level suppression to prevent all future communication.

  • Compliance Responsibility: You agree to use the Service in a manner that aligns with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA).

 

3. Financial Terms, Service Levels, and Guarantee

  • Pricing Structure: The Service operates under a Usage-Based Tiered Pricing Model (Essential, Growth, Enterprise) that determines the Monthly Recurring Revenue (MRR) based on call volume.

  • Payment Terms: All invoices are due and payable within Net 45 days of the invoice date. Invoices will be issued electronically via the Vendor's Stripe invoicing system.

  • Free Performance Trial: The initial 30-day period is a Free Performance Trial. Conversion to MRR is automatic upon the trial's success (attainment of a minimum of 6 verified service appointments booked).

  • Performance Guarantee: The first month's MRR fee is fully refundable if the Service fails to book a minimum of 6 verified service appointments within that first paid month.

 

4. Data Security and Intellectual Property (IP)

  • Data Protection: All Personally Identifiable Information (PII) is protected by AES-256 encryption at rest and TLS 1.2+ encryption in transit.

  • PII Redaction: The voice layer performs automatic PII Redaction to ensure sensitive nonpublic personal information is masked at the source.

  • Client Data Ownership: All customer data generated by the Service (transcripts, booking records) remains the sole property of the Client.

  • Vendor IP Ownership: HIR Digital Desk LLC retains exclusive, worldwide, and perpetual ownership of all underlying AI algorithms, conversational architecture, and proprietary models.

 

5. Governing Law and Termination

  • Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of Idaho.

  • Termination and Modification: We reserve the right to suspend or terminate your Service for any misuse or breach of these Terms and Conditions. We may modify these terms at any time by providing you with notice. Your continued use of the Service after any such modifications constitutes your acceptance of the new terms.
